These Terms of Service ("Terms") govern your use of Alexo Digital's website, services, and subscriptions. By booking a demo, submitting a form, or becoming a client, you agree to these Terms. If you don't agree, don't use the services. If anything here conflicts with a written agreement we signed directly, the signed agreement takes precedence.

1. Services Offered

Alexo Digital offers two service categories:

  • AI Growth System — a $297/month subscription that includes a custom-built website, dedicated business phone number, missed call text back automation, automated review requests, AI chat widget, lead follow-up sequences, Google My Business optimization, monthly SEO blog posts, and CRM access.   • Custom DFY Engagements — project-based done-for-you marketing work (ad campaigns, funnel builds, revenue infrastructure). Scope, pricing, and deliverables are defined in a separate written agreement for each engagement.

2. Eligibility

You must be at least 18 years old and authorized to enter into agreements on behalf of your business. By subscribing, you represent that you have this authority.

3. AI Growth System Subscription

3.1 Billing

The AI Growth System is billed at $297 per month, starting the day your account is created. Billing is automatic via the payment method you provide. There is no setup fee.

3.2 Month-to-Month, No Contracts

The subscription is month-to-month. No long-term contracts. You can cancel at any time with 30 days' notice (see Section 5).

3.3 What's Included

Your first month's payment covers the build, GHL sub-account setup, dedicated phone number provisioning, Google My Business optimization, and first-round automations. Ongoing months include website hosting, system monitoring, monthly blog posts, GMB maintenance, and minor site edits (up to 30 minutes per month).

3.4 Usage Limits

The standard subscription covers normal small-business usage. If your account significantly exceeds typical volume (thousands of SMS or calls per day), we'll discuss a higher-volume tier before any additional charges are applied.

3.5 Third-Party Pass-Through Costs

Some infrastructure costs (domain registration, third-party phone number fees, SMS carrier fees) may be passed through at cost if they exceed what's typical for your account. I'll communicate any pass-through charges in writing before they're billed.

4. Custom DFY Engagements

Custom DFY work (Revenue Build, ad campaigns, custom funnels) is governed by a separate written agreement for each engagement, including scope, timeline, pricing, deliverables, and any performance-based terms. These Terms apply in addition to that agreement.

5. Cancellation

You can cancel your AI Growth System subscription at any time by emailing lorenzo@alexodigital.com. Cancellations take effect at the end of the current billing cycle following a 30-day notice period. You remain responsible for payment through the final billing cycle.

5.1 What Happens After Cancellation

  • You keep ownership of your domain.
  • I'll export your website as static HTML files, delivered to you within 14 days.
  • You lose access to the CRM, dedicated phone number, chat widget, review automations, and blog publishing.
  • Your client account data is retained for 90 days in case you return, then deleted.

5.2 No Prorated Refunds

Monthly subscription fees are non-refundable once the billing cycle has started. If you cancel mid-month, your service continues through the end of the cycle but is not prorated.

6. Payment Terms

  • Subscription fees are billed monthly on your anniversary date.
  • Failed payments are retried up to 3 times over 7 days. If all retries fail, access may be suspended until the payment method is updated.
  • Accounts suspended for more than 30 days due to non-payment may be closed.
  • You authorize Alexo Digital to bill the payment method on file until you cancel or update it.

7. Intellectual Property

7.1 Your Content

You retain full ownership of any content you provide (business name, logo, photos, copy, brand assets). You grant Alexo Digital a limited license to use that content solely to deliver the services you're paying for.

7.2 The Website I Build

While your subscription is active, I retain ownership of the website code, template structure, and system architecture. You have full beneficial use of the website (branding, content, domain). Upon cancellation, I will export the website as static HTML files for your ongoing use. The underlying CRM, automations, and third-party integrations remain with Alexo Digital and cease at cancellation.

7.3 Alexo Digital IP

The alexodigital.com website, brand, design system, codebase, written content, training materials, and business processes are owned by Alexo Digital. You don't acquire any rights to these by using our services.

8. Your Obligations

You agree to:

  • Provide accurate business information and timely access to accounts (Google Business Profile, social media, etc.) needed to deliver the services.
  • Comply with applicable laws (including SMS/TCPA, email/CAN-SPAM, and industry-specific regulations).
  • Not use the services to send spam, harassing messages, or content that violates third-party rights.
  • Not attempt to reverse-engineer, resell, or redistribute the Alexo Digital platform or service architecture.

9. Service Availability

I aim for high availability, but I don't guarantee uninterrupted service. Third-party providers (Vercel, GoHighLevel, Twilio, Google, etc.) may experience outages that affect your account. I'll work to restore service as quickly as reasonably possible but am not liable for third-party downtime.

10. Disclaimers

The services are provided "as is." I make no warranty that the AI Growth System will generate a specific number of leads, reviews, or revenue. Marketing outcomes depend on many factors outside of any service provider's control, including your business, market, pricing, service quality, and competitive landscape.

Any case studies or testimonials on alexodigital.com reflect individual results under specific circumstances. Your results will differ.

11. Limitation of Liability

To the maximum extent permitted by law, Alexo Digital's total liability for any claim related to the services is limited to the amount you paid in the 3 months immediately preceding the claim. Alexo Digital is not liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost business opportunities, or data loss.

12. Indemnification

You agree to indemnify and hold Alexo Digital harmless from any claims arising from your content, your use of the services in violation of these Terms, or your violation of any third party's rights or applicable laws.

13. Modifications to the Services or Terms

I may update these Terms or modify the services from time to time. For material changes that affect your rights, I'll notify active clients by email at least 30 days before changes take effect. Continued use of the services after the effective date constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-laws principles. Any disputes arising from these Terms or the services will be resolved in the state or federal courts located in Cameron County, Texas.

15. Severability

If any provision of these Terms is found unenforceable, the remaining provisions continue in full effect.

16. Entire Agreement

These Terms, along with the Privacy Policy and any signed engagement agreements, constitute the entire agreement between you and Alexo Digital regarding the services.
