These Terms of Service ("Terms") govern your use of Alexo Digital's website, services, and subscriptions. By booking a demo, submitting a form, or becoming a client, you agree to these Terms. If you don't agree, don't use the services. If anything here conflicts with a written agreement we signed directly, the signed agreement takes precedence.

1. Services Offered
Alexo Digital offers two service categories:
- AI Accelerator — a $497/month subscription that includes a custom-built website, dedicated business phone number, missed call text back automation, AI voice agent, automated review requests, AI chat widget, lead follow-up sequences, Google My Business optimization, and CRM access. - Custom DFY Engagements — project-based done-for-you marketing work (ad campaigns, funnel builds, revenue infrastructure). Scope, pricing, and deliverables are defined in a separate written agreement for each engagement.
2. Eligibility
You must be at least 18 years old and authorized to enter into agreements on behalf of your business. By subscribing, you represent that you have this authority.
3. AI Accelerator Subscription
3.1 Billing
The AI Accelerator is billed at $497 per month, starting the day your account is created. Billing is automatic via the payment method you provide. There is no setup fee.
3.2 Month-to-Month, No Contracts
The subscription is month-to-month. No long-term contracts. You can cancel at any time with 30 days' notice (see Section 5).
3.3 What's Included
Your first month's payment covers the build, CRM and business communication system setup, dedicated phone number provisioning, AI voice agent setup, Google My Business optimization, and first-round automations. Ongoing months include website hosting, system monitoring, GMB maintenance, AI voice agent tuning, and minor site edits (up to 30 minutes per month).
3.4 Usage Limits
The standard subscription covers normal small-business usage. If your account significantly exceeds typical volume (thousands of SMS or calls per day), we'll discuss a higher-volume tier before any additional charges are applied.
3.5 Communication & AI Usage Rates (Pass-Through, At Cost)
The $497/month subscription covers the build and ongoing service. Communication channels (calls, SMS, email sends) and AI runtime (voice agent minutes, conversation AI messages, workflow LLM tokens) are pass-through costs billed at the rates below. No markup — you pay what we pay. Usage is itemized on each monthly invoice so you see exactly what you're paying for.

Typical usage example: a small-business client receiving ~60 inbound AI-handled calls per month (averaging ~5 minutes each) plus a couple of confirmation SMS and an intake email per call typically incurs around $40–$60 per month in pass-through usage on top of the subscription.
Phone number fees ($1.15/month per local number, $2.15/month per toll-free), domain registration, and any other infrastructure costs that fall outside this table are also passed through at cost. Anything material is communicated in writing before it's billed. Rates above are based on current third-party provider pricing and may be updated if our underlying providers change theirs — you'll always be notified before any rate change takes effect.
3.6 Website as Part of the Software System
The custom website built for you under your AI Accelerator subscription is a component of the software system you are subscribing to, not a standalone product or owned asset. While your subscription is active, you have full beneficial use of the website: it operates on your domain, displays your branding and content, and is connected to your CRM, AI voice agent, chat widget, lead automations, and other system features. I handle the build, hosting, monitoring, content updates, and ongoing optimization as part of the monthly fee.
You do not acquire ownership of the website code, template, design system, or underlying architecture. Think of it the same way you would think of any software-as-a-service product: while you are subscribed, you have full use of the platform; if you cancel, the platform stops operating for you. Section 5.1 covers exactly what happens at cancellation, and Section 7.2 covers the related intellectual property terms.
4. Custom DFY Engagements
Custom DFY work (Revenue Build, ad campaigns, custom funnels) is governed by a separate written agreement for each engagement, including scope, timeline, pricing, deliverables, and any performance-based terms. These Terms apply in addition to that agreement.
5. Cancellation
You can cancel your AI Accelerator subscription at any time by emailing lorenzo@alexodigital.com. Cancellations take effect at the end of the current billing cycle following a 30-day notice period. You remain responsible for payment through the final billing cycle.
5.1 What Happens After Cancellation
- You keep ownership of your domain.
- You keep ownership of any content you provided to me (logo, photos, written copy, brand assets).
- The website built and operated under your subscription stops being served. The website is part of the AI Accelerator software system (see Section 3.6) and access ends when the subscription ends. You do not retain the website code, template, or design files.
- You lose access to the CRM, dedicated phone number, AI voice agent, chat widget, review automations, blog publishing, and all other AI Accelerator features.
- Your client account data is retained for 90 days in case you return, then deleted.
5.2 No Prorated Refunds
Monthly subscription fees are non-refundable once the billing cycle has started. If you cancel mid-month, your service continues through the end of the cycle but is not prorated.
6. Payment Terms
- Subscription fees are billed monthly on your anniversary date.
- Failed payments are retried up to 3 times over 7 days. If all retries fail, access may be suspended until the payment method is updated.
- Accounts suspended for more than 30 days due to non-payment may be closed.
- You authorize Alexo Digital to bill the payment method on file until you cancel or update it.
7. Intellectual Property
7.1 Your Content
You retain full ownership of any content you provide (business name, logo, photos, copy, brand assets). You grant Alexo Digital a limited license to use that content solely to deliver the services you're paying for.
7.2 The Website Built Under Your Subscription
The website I build for you under the AI Accelerator subscription is part of the software system you are subscribing to, not a standalone deliverable that becomes yours. You do not acquire ownership of the website code, template structure, design system, or underlying architecture, and the website does not transfer to you at cancellation.
While your subscription is active, you have full beneficial use of the website: it runs on your domain, displays your branding and content, and is fully integrated with your CRM, AI voice agent, chat widget, and other system features. I handle hosting, monitoring, updates, content edits, and ongoing optimization as part of the monthly fee.
At cancellation, the website stops being served. Your domain remains yours and you can point it elsewhere. Any content you provided to me (logo, photos, written copy, brand assets) remains yours under Section 7.1. See Sections 3.6 and 5.1 for related terms.
7.3 Alexo Digital IP
The alexodigital.com website, brand, design system, codebase, written content, training materials, and business processes are owned by Alexo Digital. You don't acquire any rights to these by using our services.
8. Your Obligations
You agree to:
- Provide accurate business information and timely access to accounts (Google Business Profile, social media, etc.) needed to deliver the services.
- Comply with applicable laws (including SMS/TCPA, email/CAN-SPAM, and industry-specific regulations).
- Not use the services to send spam, harassing messages, or content that violates third-party rights.
- Not attempt to reverse-engineer, resell, or redistribute the Alexo Digital platform or service architecture.
9. Service Availability
I aim for high availability, but I don't guarantee uninterrupted service. Third-party providers (Vercel, GoHighLevel, Twilio, Google, etc.) may experience outages that affect your account. I'll work to restore service as quickly as reasonably possible but am not liable for third-party downtime.
10. Disclaimers
The services are provided "as is." I make no warranty that the AI Accelerator will generate a specific number of leads, reviews, or revenue. Marketing outcomes depend on many factors outside of any service provider's control, including your business, market, pricing, service quality, and competitive landscape.
Any case studies or testimonials on alexodigital.com reflect individual results under specific circumstances. Your results will differ.
11. Limitation of Liability
To the maximum extent permitted by law, Alexo Digital's total liability for any claim related to the services is limited to the amount you paid in the 3 months immediately preceding the claim. Alexo Digital is not liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost business opportunities, or data loss.
12. Indemnification
You agree to indemnify and hold Alexo Digital harmless from any claims arising from your content, your use of the services in violation of these Terms, or your violation of any third party's rights or applicable laws.
13. Modifications to the Services or Terms
I may update these Terms or modify the services from time to time. For material changes that affect your rights, I'll notify active clients by email at least 30 days before changes take effect. Continued use of the services after the effective date constitutes acceptance.
14. Governing Law
These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-laws principles. Any disputes arising from these Terms or the services will be resolved in the state or federal courts located in Cameron County, Texas.
15. Severability
If any provision of these Terms is found unenforceable, the remaining provisions continue in full effect.
16. Entire Agreement
These Terms, along with the Privacy Policy and any signed engagement agreements, constitute the entire agreement between you and Alexo Digital regarding the services.
